| Bob Kohn is co-founder, Chairman and CEO of RoyaltyShare, Inc. Kohn is a leading expert on music licensing and intellectual property law & policy, and as an entrepreneur was a pioneer in digital music distribution. He is the co-author of Kohn On Music Licensing (Aspen Law & Business, 3rd Edition 2002), a 1,600-page legal treatise which USA Today termed the bible on legal issues in the music world. In 1998, he founded eMusic.com, Inc., the pioneering MP3 music-download service which was acquired in 2001 by Universal Music Group. Until recently, Kohn served vice chairman of the board of Borland Software Corporation where he previously served as senior vice president and general counsel. Prior to that, he was an associate attorney at the law offices of Milton A. "Mickey" Rudin, an entertainment law firm whose clients included Frank Sinatra, Liza Minnelli, and Cher.
Kohn serves on the editorial board of the Entertainment Law Reporter and has taught law at Monterey College of Law in Monterey, California. He is a frequent lecturer and panelist at industry conferences, including most recently conferences co-sponsored by the U.S. Chamber of Commerce held in several cities in China. He also has made numerous appearances on television news programs as an authority on copyright and entertainment law. |

| Steve Grady is co-founder, president and COO for RoyaltyShare, Inc. Grady is a veteran of the digital music space having spent the past seven years working in a variety of executive marketing and management positions at eMusic.com, one of the leading music download services and a pioneer in digital distribution. From 2001 to 2005, Grady served as general manager of the download service. Prior to that Grady was executive vice president of Marketing.
Before his tenure in the digital music business, Grady spent 10 years in marketing and communications roles in the Internet and PC Software industries. His background includes positions with Infoseek, Borland Software, Ashton-Tate, Teradata Corporation and Lotus Development. Grady holds a Masters Degree in Communications studies from Emerson College and a Bachelors in Public Communication from Ashland University. |

| Scott Holcombe is co-founder and Chief Technical Officer for RoyaltyShare, responsible for all aspects of architecture, design and development of the company's state-of-the-art royalty processing system. Holcombe has more than 15 years of software development experience. Prior to joining Royaltyshare, he served as VP of Engineering for eMusic, a leading music subscription service and as a senior Software Developer at Vivendi Universal where he was responsible for the ongoing development of Vivendi's music and media websites, including eMusic.com, MP3.com, and rollingstone.com. Holcombe's career also includes senior development roles with NeoPoint, HNC Software and Mistix/Teleseat. |
